Welcome to IThesion! We’re excited to have you on board and look forward to supporting your digital agency with our managed web-hosting services. These Terms of Service (“Terms”) explain your rights and responsibilities when using our services. By using our Services, you agree to these Terms.
1. Definitions
1.1 “Customer” refers to any Digital Agency that subscribes to our Services.
1.2 “End User” refers to any individual or entity that uses the services provided by the Customer.
1.3 “Mass Mailing” refers to sending bulk email messages that exceed a reasonable threshold defined by us.
2. Services
2.1 What We Offer: We provide managed web-hosting services, including website and email hosting, to help you deliver a seamless experience to your clients. Our Services are designed to be flexible and robust, with a few necessary restrictions to ensure quality for everyone.
2.2 Professional Service Guarantee: We are committed to providing a professional and high-quality service. Our support team is available to assist you with any technical issues or inquiries promptly and efficiently.
2.3 No Vendor Lock-In: We believe in providing you with the freedom to choose. You can move your data and services to another provider at any time without unnecessary restrictions or fees.
2.4 Support: Our team is here to help you with technical support. However, support for your clients (End Users) is your responsibility.
3. Customer Responsibilities
3.1 Compliance: Please ensure you comply with all relevant laws and regulations while using our Services.
3.2 Content: You’re responsible for the content you host. This includes ensuring it doesn’t include illegal activities, hate speech, pornography, or any content that infringes on intellectual property rights.
3.3 Mass Mailing: To keep our services running smoothly, we don’t allow mass mailing (bulk unsolicited emails). Violating this policy can lead to suspension or termination of your Services.
3.4 Security: Protecting your websites and email accounts is crucial. Use strong passwords and keep your software updated.
4. Prohibited Activities
4.1 Abuse: To keep the environment safe and reliable for everyone, you must avoid:
- Spamming and mass mailing
- Hosting malicious software
- Conducting illegal activities
- Overloading server resources
4.2 Violation: If these rules are violated, we may have to suspend or terminate your Services, although we hope it never comes to that!
5. Service Availability
5.1 Uptime Guarantee: We strive for 99.9% uptime for our services. In the unlikely event that we fail to meet this guarantee, you may be eligible for a discount on your next billing cycle. Specific details and eligibility criteria for the discount will be provided in our Service Level Agreement (SLA).
5.2 Scheduled Maintenance: Scheduled maintenance that might cause interruptions will be communicated to you in advance to minimize any inconvenience.
5.3 Liability: We’re not liable for any direct or indirect damages resulting from service interruptions, except as specified in our Uptime Guarantee.
6. Payment and Fees
6.1 Billing: We offer monthly billing for our clients. Timely payment ensures uninterrupted services.
6.2 Refunds: Refunds are given at our discretion. You can cancel anytime, but no refunds will be issued for the unused portion of the Services.
7. Termination
7.1 By Customer: You can terminate your subscription anytime with a written notice. Termination will take effect within 3 business days. Upon termination you will receive the invoice for resource usage since last billing cycle up to the termination.
7.2 By Us: We may terminate services immediately if these Terms are violated.
8. Limitation of Liability
8.1 Limited Warranty: We guarantee professional service, no vendor lock-in, and a 99.9% uptime as detailed in these Terms. Other than these specific guarantees, our Services are provided “as is” without further warranties, express or implied.
8.2 Limitation: Our liability is limited to the amount you paid for the Services in the six months preceding the claim.
9. Indemnification
You agree to indemnify and hold IThesion and its team harmless from any claims or expenses arising from your use of our Services.
10. Governing Law
These Terms are governed by the laws of Republic of Latvia.
11. Amendments
We may update these Terms occasionally. Significant changes will be communicated to you. Continuing to use our Services means you accept the new Terms.
